These Terms and Conditions ("Terms") govern the provision of web design and related services by EliteRose Digital Limited ("we", "us", "our") to you ("Client"). By engaging our services, you agree to be bound by these Terms.

1. Services

1.1 Scope of Work

We provide web design, development, and related digital services as outlined in your project proposal. The specific services, deliverables, and timeline will be detailed in your individual project agreement.

1.2 Service Packages

  • Essential (£1,500): 5 pages, basic design, 5-7 day delivery, 1 revision round
  • Professional (£3,000): 10 pages, custom design, 10-14 day delivery, 2 revision rounds
  • Elite (£5,000): Unlimited pages, bespoke design, 14-21 day delivery, unlimited revisions

1.3 Additional Services

Additional features, pages, or services beyond the agreed scope will be quoted separately and require written approval before commencement.

2. Payment Terms

2.1 Payment Structure

  • 50% deposit upon contract signing (non-refundable)
  • 25% upon design approval
  • 25% upon project completion

2.2 Payment Methods

We accept payment via bank transfer, debit/credit card (via Stripe), or PayPal. All prices are in GBP and exclude VAT unless otherwise stated.

2.3 Late Payment

Invoices are due within 7 days. Late payments will incur interest at 8% above the Bank of England base rate, calculated daily. Work may be suspended for overdue accounts.

3. Project Timeline

3.1 Delivery Schedule

Project timelines begin upon receipt of deposit and all required materials. Delays in providing content, feedback, or approvals may extend the timeline accordingly.

3.2 Rush Delivery

Rush delivery (faster than standard timeline) incurs a 25% surcharge and is subject to availability.

3.3 Client Responsibilities

  • Provide all content, images, and materials as requested
  • Respond to queries within 48 hours
  • Review and approve designs within 72 hours
  • Test and approve final website within 48 hours of delivery

4. Intellectual Property

4.1 Ownership

Upon final payment, you own all rights to the final website design and content. We retain the right to display the work in our portfolio unless you request otherwise in writing.

4.2 Third-Party Assets

Stock images, fonts, and third-party plugins remain subject to their original licenses. We will inform you of any ongoing licensing requirements.

4.3 Source Code

Source code and project files are included with Professional and Elite packages. Essential packages include exported files suitable for hosting.

5. Revisions & Changes

5.1 Included Revisions

Each package includes a specific number of revision rounds as outlined in Section 1.2. A revision round includes all feedback provided within 48 hours of design presentation.

5.2 Additional Revisions

Revisions beyond the included rounds are charged at £75/hour with a minimum of 2 hours.

5.3 Scope Changes

Changes that significantly alter the project scope require a new agreement and may affect timeline and pricing.

6. Cancellation Policy

6.1 Client Cancellation

  • Before design phase: 50% of deposit refunded
  • After design approval: No refund
  • After development begins: Full payment due

6.2 Our Right to Cancel

We reserve the right to cancel the project if you breach these Terms, fail to provide materials, or fail to make payments. Work completed will be invoiced pro-rata.

7. Warranties & Liability

7.1 Our Warranty

We warrant that websites will be free from defects for 30 days post-launch (60 days for Professional, 6 months for Elite). We will fix any bugs at no charge during this period.

7.2 Limitation of Liability

Our total liability shall not exceed the total project fee. We are not liable for indirect, consequential, or incidental damages, including lost profits or data.

7.3 Indemnification

You agree to indemnify us against any claims arising from content you provide or your use of the website.

8. Hosting & Maintenance

8.1 Hosting

We can arrange hosting through our preferred providers. You are responsible for hosting fees unless included in a maintenance package.

8.2 Maintenance Packages

Optional monthly maintenance packages are available for ongoing updates, backups, and support. These are governed by separate maintenance agreements.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the project. This obligation survives termination of the agreement.

10. Dispute Resolution

10.1 Negotiation

Any disputes shall first be addressed through good-faith negotiation between the parties.

10.2 Mediation

If negotiation fails, disputes shall be submitted to mediation under the CEDR Model Mediation Procedure.

10.3 Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

11. General Provisions

11.1 Entire Agreement

These Terms, together with your project proposal and invoice, constitute the entire agreement between the parties.

11.2 Amendments

Any amendments must be agreed in writing (email acceptable) by both parties.

11.3 Force Majeure

Neither party is liable for delays caused by circumstances beyond reasonable control.

11.4 Severability

If any provision is found invalid, the remaining provisions continue in full force.
